Key Responsibilities:
  • Experience with entity mergers, amalgamation, and other business combinations.
  • Experience in preparing for IPO listing, SEBI listing and Disclosure requirements.
  • Experience in regulatory filings of SEBI. MCA / Companies Act and RBI / FEMA for a listed company.
  • Experience in secretarial functions for a professional Board of a company size not less than 1500 Crores turnover.
  • Sound knowledge of corporate and Allied laws with its procedure’s areas.
  • Good command over legal drafting and vetting of the documents. Strong presentation and analytical skills,
  • Independently handle entire secretarial and legal portfolio of the Company at India Level including assistance in litigations matters with various courts.
  • Supports in agreement-related templates; compliance checklists; agreement readings – examining the contractual and compliance elements of the schedule of the agreement, the clauses/provisions, and the special requirements; interpretation of terms and conditions.
  • Define proper insurance coverages by assessing risk involvement in the operations of the company which helps to mitigate losses in any unwanted events.
  • Providing supports in drafting and vetting of various legal documents like agreements, contracts, banking covenants, etc. for all Indian entities.
  • Handling compliance of environment related laws including timely submission of returns, identified risk or gaps in compliances, etc.
  • Drafting, reviewing, negotiating, and advising internal stakeholders
  • Negotiating with external counterparts on a variety of commercial agreements, including third-party, operations, services, and marketing agreements
  • Identifying and consulting on legal risks concerning the development of new products
  • Helping to interpret and monitor changes to regulatory guidelines while proactively handling regulatory developments and advising internal stakeholders
  • Liaising with specialist external counsel in relation to new products, expansion into new market verticals, and areas relating to compliance, privacy, or security
  • Developing and implementing processes for efficient and streamlined operations surrounding contract negotiation and processes
  • Developing and maintaining form agreements, contract management systems, and other databases
  • Serving as lead counsel on strategic deals, resolving issues that arise in existing commercial relationships, and handling pre-litigation legal disputes and inquiries
  • Driving all ongoing compliance review processes, including necessary filings, policies, and procedures
  • Providing time-sensitive support on a wide array of legal inquiries concerning all aspects of your country’s operations
Education:

Company Secretary and LLB with 15 years plus experience managing Secretarial and Legal Affairs of medium sized manufacturing organisation. 

Compensation :

Rs.35 to Rs.40 Lakhs Per Annum
